2. Accuracy and Integrity of Information
You certify that the information provided in the onboarding form is complete, truthful, and accurate to the best of your knowledge. GFD reserves the right to review and adjust category selections or other entries if the provided documentation does not support the claimed category, ensuring accurate representation and consistency across the directory.
3. Data Privacy and Protection
GFD is committed to protecting your privacy in compliance with global data protection standards, including the General Data Protection Regulation (GDPR) for European clients and the California Consumer Privacy Act (CCPA) for California residents.
- Collection of Personal Information: GFD collects necessary personal and business information as provided in the onboarding form to establish and verify directory listings.
- Use of Data: Your information will be used strictly for onboarding, verification, and directory listing purposes. GFD does not share personal information with unauthorized third parties without consent, except as required by law.
- Data Access and Correction: You may request access to, correction of, or deletion of your data by contacting GFD at info@globalfashiondirectory.com.
- Retention: GFD retains information for as long as necessary to fulfill onboarding, compliance, and legal obligations. Upon termination of your directory listing, GFD will delete your data, except where retention is legally required.

4. Intellectual Property
All content you provide, including images, descriptions, and company information, is submitted with permission for GFD to display on its platform. You retain ownership of the content but grant GFD a non-exclusive license to use, display, and promote it as part of your directory listing.

5. Compliance with Laws and Standards
You affirm that your business operations, products, and services comply with all applicable laws, including those concerning ethical production, environmental responsibility, and safety standards. GFD may request proof of compliance documentation to confirm adherence to these standards. Members must ensure compliance with GFD’s Forced and Child Labor Policy. Non-compliance may result in suspension or removal from the directory.

6. Changes to Terms
GFD may update these Terms and Conditions periodically to reflect changes in legal requirements or operational needs. By continuing to use the directory services, you accept any such modifications. 7. Limitation of Liability
GFD is not liable for any direct, indirect, incidental, or consequential damages arising from inaccuracies in submitted information, loss of data, or other issues related to the directory listing, to the fullest extent permitted by law.
8. Governing Law
These Terms and Conditions shall be governed by the laws of the State of Hawaii, USA. Any disputes arising from these terms shall be resolved in the courts located in the state of Hawaii.

9. Listing Visibility and Discoverability
- Searchable Database: GFD provides a searchable platform intended for members to increase visibility and discoverability within the fashion industry. By submitting a profile, you acknowledge that your business information will be accessible to other directory users as per the visibility settings and guidelines set by GFD.
- Optimized Listings: To maintain directory standards, GFD may optimize and format listings as necessary for consistency and search functionality, without altering the integrity of the information provided.
10. Member-to-Member Interactions
- Direct Contact: GFD enables direct connections between members for networking and business opportunities. You agree to engage with other members respectfully and professionally, in accordance with GFD’s usage guidelines.
- Prohibited Actions: Members are prohibited from using the directory to solicit unrelated services, spam, or engage in any activity that could harm other users or the directory’s reputation. GFD reserves the right to suspend accounts that violate these guidelines.

11. Usage of the Directory and Platform Guidelines
- Permitted Uses: You agree to use the directory strictly for networking, business development, and other professional purposes aligned with the fashion industry. Unauthorized uses, such as data mining or scraping of member information, are strictly prohibited.
- Member Responsibility: Members are responsible for any communications or arrangements made through the directory platform. GFD does not endorse or assume liability for interactions between members.
12. Membership Renewal and Termination
- Membership Termination: GFD reserves the right to terminate or suspend membership and access to the directory if a member is found in violation of these Terms and Conditions or if the provided information is found to be inaccurate or misleading.
- Renewal and Updates: Directory memberships may be subject to renewal based on GFD’s policies. Members are responsible for updating any significant changes to their listing information to ensure accuracy and relevance in the directory.

13. Credit-Based Pricing Structure
- Credit System Overview: GFD operates a credit-based model for members to access the platform, enhanced listings, and other value-added services. Credits may be purchased directly through the platform at the rates displayed on the GFD pricing page.
- Credit Usage and Expiration: Credits can be used at any time to unlock GFD’s premium features. Since credits do not expire, members are not required to monitor expiration dates and can retain unused credits indefinitely.
- Free Basic Listings: Basic listings and onboarding remain free. However, certain advanced features and visibility options may require credits, as outlined in the pricing structure.

14. Pricing, Payments, and Account Management
- Pricing and Payment Terms: GFD will provide clear and transparent pricing on all credit purchases and subscription options. Members will be notified in advance of any price changes or promotional offers. Payments are securely processed through GFD’s chosen payment provider, and members are responsible for maintaining valid payment information.
- Auto-Renewal and Cancellation: Where applicable, credit-based subscriptions may auto-renew unless the member opts out. Members can cancel auto-renewal at any time through their account settings without penalty, though cancellation will not impact credits already purchased.
- Refunds and Disputes: Credits purchased are generally non-refundable. However, if a member experiences an issue or billing discrepancy, they may contact GFD support to resolve the matter.
15. Future Pricing Adjustments and Notification
- Pricing Changes: GFD may periodically adjust the credit pricing structure or introduce new service tiers. Members will receive notification of any significant changes at least 30 days in advance, allowing them to make any necessary adjustments to their usage or purchases.
- Discounts and Promotions: GFD may offer promotional discounts, limited-time offers, or bulk credit packages. These promotions are subject to specific terms that will be communicated at the time of the offer.
16. Annual Review and Verification
- Annual Profile Review: To maintain accuracy and relevance, GFD will conduct an annual review of each member’s profile. Members will be notified to update any necessary information to reflect their current offerings, partnerships, or compliance certifications.
- Verification Renewal: Verified status will be reassessed each year, and members who complete the review process will be granted continued access to their Verified Member status and badge. Members who do not respond to the review may have their Verified status paused until the information is updated.

17. Use of Verified Member Badge
- Issued Badge: Upon successful completion of the annual review, members will receive a digital “Verified Member” badge, valid for the designated year (e.g., “2025”) to display on their websites, marketing materials, or social media.
- Usage Guidelines: The Verified Member badge signifies active participation and verification within GFD. Members agree to use this badge only in the current year it is issued and to remove or update it if their verification lapses.
- Unauthorized Use: Unauthorized or misleading use of the Verified Member badge, including displaying it past its valid year, may result in the suspension of GFD membership or other corrective actions.

18. Marketing and Publicity
- Promotional Consent: By joining GFD, members consent to the use of their logos, profile information, website screenshots, and selected company values in GFD’s promotional materials. This includes potential inclusion in GFD’s yearly guide showcasing members based on specific industry values.
- Social Media and Directory Promotion: Members agree that GFD may use their content, including website screenshots, for promotion across GFD’s social media channels, including LinkedIn, as well as within the GFD platform to enhance visibility.
- Opt-Out Process: Members may contact GFD at info@globalfashiondirectory.com if they wish to revoke consent for promotional use. GFD will make reasonable efforts to remove member content from future promotions.

19. Initial Profile Creation and Onboarding Process
- Pre-Populated Profiles: To start populating the directory, GFD has identified and created preliminary business profiles for certain companies using publicly available information gathered from the internet. These profiles include basic company information relevant to the fashion industry.
- Verification and Completion of Onboarding: GFD will reach out directly to companies with pre-populated profiles to confirm and complete the onboarding process. Companies will have the opportunity to review, update, and verify the information initially gathered, ensuring accuracy and completeness.
- Profile Management and Member Requests: Upon completion of the onboarding process, companies’ profiles will be managed by GFD. To request updates, changes, or to delete or deactivate their profile, companies must contact GFD at info@globalfashiondirectory.com.
- Compliance and Accuracy: By proceeding with the onboarding process, companies acknowledge that the information initially gathered was publicly available. However, they retain the right to modify or correct any inaccuracies in their profile before it is finalized in the GFD directory.
II. PRIVACY POLICY
Global Fashion Directory LLC (“GFD,” “we,” “our,” or “us”) is committed to protecting your privacy and personal information. This Privacy Policy outlines how we collect, use, store, and share your data when you interact with our services. By using the GFD platform, you agree to this Privacy Policy.
1. Information We Collect
We collect and process the following types of information when you interact with our platform:
- Personal Information: This includes your name, business email address, business phone number, job title, and other contact details you provide during registration and onboarding or in your directory profile. We collect this information to facilitate onboarding and provide directory services. Processing is based on contractual necessity to fulfill your membership and directory listing.
- Email and Onboarding Notifications: GFD retains copies of onboarding-related email notifications and status updates, which may include your contact details and application status. This information is stored securely on our platform for long-term reference to support administrative functions, resolve disputes, or maintain accurate records of member interactions. It is not shared with third parties and is retained indefinitely unless deletion is requested or required by law.
- Business Information: Company name, address, industry category, descriptions, and any other business details necessary for directory listing. This information is processed to create and manage your directory profile, based on our legitimate interest in providing a professional platform.
- Usage Data: Platform interaction data, such as page views, search queries, IP address, device type, and browser type, is collected through third-party tools like Google Analytics. GFD does not directly store or process this information.
- Financial Information (for paid credit-based features): Payment details, including billing address and payment method, are processed securely through trusted third-party providers like PayPal or Stripe. GFD does not store, process, or access your payment information beyond receiving confirmation of successful transactions from our providers.
2. How We Use Your Information
We use the collected data for the following purposes:
- Account Creation and Directory Listing: To create, verify, and manage your account and directory profile.
- Platform Functionality: To provide access to our services, facilitate networking, and ensure your information is visible in relevant search results.

2. Prohibited Activities
To maintain the integrity and functionality of the GFD platform, the following activities are strictly prohibited:
- Misrepresentation and False Information: Members may not provide false, misleading, or deceptive information in their profiles, listings, or communications.
- Spamming and Unsolicited Messaging: Members may not send unsolicited, irrelevant, or promotional messages to other members without prior consent. Visibility within the directory and appearing in directory searches is not considered unsolicited, as it is an intended feature of the platform. However, direct messaging or outreach must be conducted professionally and respectfully, adhering to GFD’s Acceptable Use Policy.
- Harassment or Abusive Behavior: Any form of harassment, discrimination, or abusive language directed at other members is strictly prohibited.
- Unauthorized Commercial Activities: The platform may not be used for unauthorized sales, promotions, or activities unrelated to the fashion industry. Only relevant, fashion-industry-focused interactions are permitted.
- Intellectual Property Infringement: Members may not post content or use images, text, or logos that infringe upon another entity’s intellectual property rights.
- Data Mining or Scraping: Members are prohibited from using automated tools or techniques to scrape data, harvest information, or perform any form of data extraction on the GFD platform.
- Engaging in Competitive Activities: Members may not use the GFD platform, onboarding forms, data, or proprietary tools to develop, operate, or support a competing directory, database, or service; solicit GFD members for participation in competing services; or use GFD resources to benefit a competing business.
- Unlawful Activities: Any activities that are illegal, fraudulent, or violate local or international laws are strictly forbidden on the GFD platform.
- Non-Compliance During Annual Review: Members who fail to meet the standards outlined in the Membership and Account Policy, including during the annual verification process, may have their accounts suspended or terminated.
3. Interaction Guidelines for Members
To promote a positive experience for all members, GFD expects members to follow these interaction guidelines:
- Respectful Networking: Approach other members professionally and courteously. Avoid aggressive or high-pressure tactics in networking or business inquiries.
- Relevant Communications: Limit communications to relevant business opportunities, partnerships, or professional inquiries. Avoid sending unsolicited or irrelevant offers.
- Confidentiality: Respect the privacy and confidentiality of other members. Do not share or publish information from other profiles without permission.
4. Reporting Violations
If you believe another member has violated this Policy, you may report the issue to GFD’s support team at info@globalfashiondirectory.com. GFD will review all reports and take appropriate action, which may include warnings, suspensions, or termination of the violating member’s account.
5. Consequences of Violations
Violating this Policy may result in one or more of the following actions, depending on the severity and frequency of the violation:

- Temporary Suspension: For repeated or severe violations, GFD may temporarily suspend the member’s account, restricting access until the issue is resolved.
- Permanent Termination: For severe or repeated violations, GFD reserves the right to permanently terminate the member’s account and remove the profile from the directory.
6. Right to Modify or Update Policy
GFD reserves the right to modify or update this Acceptable Use Policy at any time to ensure compliance with evolving legal requirements and platform standards. Members will be notified of significant updates, and continued use of the GFD platform constitutes acceptance of the revised Policy.
IV. INTELECTUAL PROPERTY POLICY
This Intellectual Property Policy (“Policy”) explains the ownership and permitted uses of intellectual property on the Global Fashion Directory (“GFD” or “we” or “our”) platform. By using the GFD platform, members (“you” or “members”) agree to the terms outlined in this Policy.
1. Ownership of Content and Intellectual Property
- Member-Submitted Content: Members retain ownership of any content they submit to the GFD platform, including but not limited to images, descriptions, logos, and business information. However, by submitting content, members grant GFD a non-exclusive, royalty-free, worldwide license to use, display, and distribute this content on the platform and for promotional purposes.
- GFD-Owned Content: All content created by or for GFD, including the website design, text, graphics, logos, and proprietary algorithms, is owned exclusively by GFD or its licensors. This content is protected by copyright, trademark, and other intellectual property laws.
- GFD Branding and Logos: The “Global Fashion Directory” name, logos, and other branding elements are the exclusive property of GFD. Members do not acquire any rights to these assets except as explicitly permitted in this Policy.
2. License and Permissions for Member-Submitted Content
By submitting content to GFD, you grant us permission to:
- Use and Display: Display your content on your directory profile, in search results, and in promotional materials, such as newsletters, emails, and social media posts, to promote your listing and the platform.
- Marketing and Publicity Use: Member content, including logos, descriptions, and website screenshots, may also be used in GFD’s promotional materials as outlined in our Marketing and Publicity Agreement. This includes possible inclusion in our yearly guide, promotional features across GFD’s social media channels, and other marketing platforms. Additionally, member content may be featured in case studies and testimonials to highlight success stories or provide industry insights. - Edit and Format: Make minor edits to improve display or formatting consistency on the platform, without altering the meaning or ownership of the content.
- Remove or Moderate Content: Remove, moderate, or restrict access to content that violates our Acceptable Use Policy or is found to be inaccurate or misleading.
3. Permissible Uses of GFD Branding and Logos
GFD grants members limited permission to use the “Verified Member” badge and any other authorized GFD logos under the following conditions:
- Verified Member Badge: Members in good standing who complete the annual verification process may use the “Verified Member” badge for the applicable calendar year (e.g., “Verified Member 2025”). This badge may be displayed on members’ websites, social media profiles, and marketing materials to signify active status in the directory.
- Restrictions on Use: Members may not modify, distort, or alter the “Verified Member” badge or other GFD logos. The badge must be used in its original form and solely for the current year of verification.
- Prohibited Uses: Unauthorized use of GFD logos, trademarks, or branding elements, including use after membership termination or in a misleading manner, is strictly prohibited and may result in corrective actions, including legal action if necessary.
4. Prohibited Uses of Intellectual Property
Members agree not to:
- Copy, Reproduce, or Distribute GFD-Owned Content: Members may not copy, reproduce, or distribute GFD-owned content for commercial or competitive purposes without GFD’s explicit written consent.
- Infringe on Third-Party IP: Members are responsible for ensuring that all content they submit does not infringe upon the intellectual property rights of others, including trademarks, copyrights, and patents.
- Misrepresent Affiliation: Members may not use GFD’s name, branding, or logos in a way that misrepresents their relationship with GFD or suggests an endorsement beyond membership status.
5. Reporting Intellectual Property Violations
If you believe your intellectual property rights have been infringed upon by another member or by content on the GFD platform, you may submit a complaint to info@globalfashiondirectory.com. GFD will investigate and take appropriate action, which may include removing the infringing content or suspending the offending member’s account.
6. Consequences of Intellectual Property Violations
Violations of this Policy may result in the following actions:

- Account Suspension or Termination: Members who repeatedly violate intellectual property rights may have their accounts suspended or terminated.
- Legal Action: In cases of severe or repeated infringement, GFD reserves the right to pursue legal remedies to protect its intellectual property and the intellectual property of others.

GFD reserves the right to modify or update this Intellectual Property Policy at any time to address legal changes or updates in platform standards. Members will be notified of significant updates, and continued use of the platform constitutes acceptance of the revised Policy.
V. MEMBERSHIP AND ACCOUNT POLICY
This Membership and Account Policy (“Policy”) outlines the terms and responsibilities associated with holding a membership on the Global Fashion Directory (“GFD” or “we” or “our”) platform. By becoming a member, you (“you” or “member”) agree to comply with the terms in this Policy.
1. Membership Types and Benefits
GFD offers the following membership options:
- Free Membership: All members receive a directory listing at no cost, basic visibility of other business profiles, and access to limited features.
- Credit-Based Services: GFD uses a credit-based system for accessing additional features and content. Members can use credits to unlock detailed business profiles and access networking information for other members. Credits are available for purchase directly within the platform.
- 2. Account Security and Responsibilities
Non-compliance will result in corrective actions, including suspension or termination of membership, in accordance with GFD’s policies.
- Account Credentials: Members are responsible for maintaining the confidentiality of their login credentials and are liable for all activities conducted through their accounts.
- Account Security: Members must use secure passwords and regularly update them. If you suspect unauthorized access to your account, notify GFD immediately at info@globalfashiondirectory.com.
- Profile Information: Members are required to provide accurate and up-to-date information in their profiles. You agree to update any changes to your business or contact information within 30 calendar days (e.g., change of ownership, address, or contact person).
- Member Compliance: Members must comply with GFD’s Forced and Child Labor Policy, ensuring their operations and supply chains uphold ethical labor standards.

3. Membership Renewal and Annual Verification
- Annual Review: GFD conducts an annual review of all member profiles to ensure that information remains accurate and relevant. During this review, members may be asked to verify or update their profiles to ensure continued compliance with GFD’s policies, including the Membership and Account Policy and Acceptable Use Policy.
- Verification Renewal: Members who complete the annual review process and confirm compliance with all GFD policies, including the Forced and Child Labor Policy and the Member Code of Conduct, are eligible to renew their “Verified Member” status.
- Automatic Renewal of Credits: Credits for premium features may be set to auto-renew based on your account preferences. Members can cancel auto-renewal at any time through their account settings without penalty.

4. Credits and Premium Features
- Credit System Overview: Credits can be used to access enhanced features on the GFD platform, including improved visibility, priority placement, and promotional options.
- Issuance of Free Credits: New members receive a set number of welcome credits to explore the platform. These credits do not expire but may be subject to specific promotional terms.
- Non-Expiring Credits: Purchased credits remain valid indefinitely, giving members maximum flexibility.
- Refunds and Disputes: Credits purchased are generally non-refundable. If a billing issue occurs, members may contact GFD support for resolution. GFD reserves the right to issue refunds or additional credits at its discretion.
5. Account Termination and Suspension
GFD reserves the right to suspend or terminate accounts under the following conditions:
- Member-Initiated Termination: Members may choose to deactivate or terminate their accounts at any time. Upon termination, your directory listing will be removed from the platform.

- Notice and Resolution: GFD will generally notify members of any violations and provide an opportunity to resolve the issue before suspension or termination, except in cases of severe or repeated violations.
- Effect of Termination: Upon account termination, all data associated with the account will be deleted or anonymized, except where retention is required by law.
6. Inactive Accounts
- Inactive Accounts: Accounts that remain inactive for an extended period (e.g., 12 months without login) may be marked as inactive. GFD reserves the right to remove inactive profiles to ensure the directory’s relevance.
- Reactivation: Members can request reactivation of an inactive account by contacting GFD support. Reactivation may require updated profile information or verification.
7. Changes to Membership Plans and Credits

8. Non-Compete Obligations

3. Binding Arbitration Agreement

- Arbitration Rules and Venue: Arbitration will be conducted by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration will take place in Hawaii, USA, or, if you are an international member, may be conducted remotely.
- Arbitrator’s Authority: The arbitrator has exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this Dispute Resolution Policy, including any claim that all or part of this Policy is void or voidable.
- Costs of Arbitration: Each party will bear its own costs, fees, and expenses of arbitration, except as otherwise required by law or by AAA rules. GFD will cover any arbitration fees required by AAA rules to the extent they exceed court filing fees.
4. Waiver of Class Actions and Jury Trials

3. Yearly Guide Based on Company Values
- Inclusion in Yearly Guide: GFD publishes an annual guide highlighting members based on certain company values, such as Environmental Impact, Social Responsibility, Sustainable Materials & Processes, and others. This guide is designed to showcase members that align with key industry values and to facilitate connections with like-minded partners and clients.
- Selection Criteria: Members will be considered for inclusion based on their company values. Inclusion is based on the information provided by members, and GFD reserves the right to confirm or request clarification of certain values if needed.
- Distribution and Promotion: The yearly guide will be distributed digitally and/or in print, shared across GFD’s social media channels (including LinkedIn), and featured in GFD marketing materials. By agreeing to this Agreement, members consent to potential inclusion in this guide.
4. Permitted Uses of Member Content
GFD may use member content in the following ways:
- Directory Promotion: Displaying member logos, names, profile excerpts, and website screenshots on the GFD website, emails, and social media to demonstrate the diversity and quality of directory listings.
- Social Media and Newsletters: Featuring members in GFD’s digital communications, including posts, newsletters, and announcements to highlight success stories, new members, or industry insights.
- Marketing Materials: Incorporating member information in presentations, case studies, the yearly guide, and promotional campaigns intended to increase the reach and reputation of GFD.
5. Duration and Revocation of Consent
- Duration: This consent remains in effect as long as the member has an active GFD account. If a member terminates their membership or no longer wishes to participate in GFD’s promotional activities, they may contact GFD at info@globalfashiondirectory.com to revoke consent.
- Revocation Process: Upon request, GFD will cease using the member’s content in future promotional materials and will make reasonable efforts to remove the member’s content from active marketing materials within 30 days. Inclusion in already published materials, such as the yearly guide, cannot be retracted after publication.
6. Intellectual Property and Ownership
- Member Ownership: Members retain full ownership of their logos, images, website content, and other materials provided to GFD. This Agreement does not transfer any intellectual property rights to GFD, except for the limited license granted herein for promotional use.
- License to Use: By granting consent under this Agreement, members provide GFD with a non-exclusive, royalty-free, worldwide license to use, reproduce, and display their content solely for the purposes described in this Agreement.
7. No Endorsement Implied
Participation in GFD’s promotional activities does not imply an endorsement of any particular member, product, or service by GFD. Similarly, GFD’s use of member content does not imply that GFD endorses or verifies the accuracy of any specific member content.
8. Indemnification
Members agree to indemnify and hold harmless GFD from any claims or liabilities arising from GFD’s use of member content as permitted under this Agreement. This includes, but is not limited to, claims related to intellectual property rights, privacy rights, or misrepresentation.
9. Right to Modify Agreement
